Terms of Service

These terms are an agreement between you and SpecHawk Inc., a Delaware corporation ("SpecHawk," "we," "us"). They cover your use of spechawk.ai and the SpecHawk service. If you use SpecHawk on behalf of a company, you are accepting these terms for that company and confirm that you are allowed to. If your company has signed an agreement with us, such as a design partner agreement or an order form, that agreement controls where it differs from these terms.

1. The service

SpecHawk connects to web environments you choose, maps how they work, writes tests, runs them on demand or on a schedule, and reports the results with evidence such as steps, screenshots and logs. It also reports security findings based on what it sees, and helps you write tests from tickets or plain English. SpecHawk is a young product. We may add, change or remove features, and we will try to tell you ahead of time about changes that matter to you.

2. Your account

You must be at least 18 and using SpecHawk for business. Keep your login details safe, and tell us right away if you think someone has used your account without permission. You are responsible for what happens under your account and for the people you invite to your workspace.

3. Test only what you are allowed to test

  • Connect only environments you own or have permission to test. You confirm that you have the rights and consents needed for SpecHawk to access each environment you add and to process its data.
  • We recommend staging, QA and sandbox environments rather than live production systems.
  • Form submissions and data changes are off until you turn them on for an environment. Turn them on only where test data is acceptable. SpecHawk is designed never to press account controls such as "Delete account," and to press billing controls only in an environment you mark as a payment sandbox, but software can make mistakes, so use test accounts and keep backups.
  • Do not give SpecHawk payment card data, health records, government ID numbers or production secrets for live customer-facing systems, unless we have agreed to it in writing.

4. Acceptable use

You agree not to:

  • test, scan, crawl or load-test any site or system you are not authorized to test;
  • use SpecHawk to get around another party's security, access controls or rate limits;
  • overload or disrupt any site, including ours;
  • break the law, infringe anyone's rights, or upload malware;
  • copy, resell or reverse engineer SpecHawk, or use it to build a competing product, except where the law allows; or
  • share your access with anyone outside your organization.

We may suspend access if we need to stop abuse or protect the service, other customers or third parties. When we can, we will tell you why and give you a chance to fix the problem.

5. Your data

  • Customer Data means what you connect to SpecHawk and what SpecHawk captures from your environments, including the tests, results and reports made from it. You own it.
  • You give us permission to store, process and display Customer Data only to provide, secure, support and improve the service for you, as described in our Privacy Policy.
  • We do not use Customer Data to train AI models.
  • We may use de-identified, aggregated usage information that does not identify you or your company to run and improve SpecHawk.
  • You can export your tests, and delete environments, maps, tests and runs in the product. To delete anything else, email us. When your account ends, we delete Customer Data as described in our Privacy Policy.

6. AI output and security findings

  • SpecHawk uses AI to write tests and other output. AI output can be wrong or incomplete, so review it before you rely on it.
  • Security findings come from what SpecHawk observes on the pages it visits. They are not a penetration test, an audit or a certification, and a clean result does not mean a site is secure. Findings marked "possible" were not fully proven.
  • SpecHawk does not promise to find every bug, defect or vulnerability.

7. Plans and payment

  • Paid plans are billed in advance, monthly or yearly, at the prices on our pricing page or in your order form, and renew automatically until you cancel.
  • You can cancel at any time. Cancellation takes effect at the end of the current billing period, and fees already paid are not refunded unless the law requires it.
  • Prices do not include taxes, which you are responsible for.
  • We will give you at least 30 days' notice before a price change applies to your plan.
  • Design partner pilots are free for the pilot period set out in your design partner agreement.

8. Other services

SpecHawk works with services run by others, such as Jira, GitHub, AI model providers and proxy services you configure. Your use of them is governed by their terms, and we are not responsible for them.

9. Our rights and your feedback

SpecHawk, including its software, models, prompts, designs and documentation, belongs to us and our licensors. While your account is active, we give you a limited, non-exclusive, non-transferable right to use it under these terms. If you send us feedback or ideas, we may use them without any obligation to you.

10. Confidentiality

Each of us will protect the other's non-public information with reasonable care, and use it only for our relationship under these terms. This does not apply to information that is public, already known to the receiving party, independently developed, or lawfully received from someone else.

11. Ending these terms

You can stop using SpecHawk at any time. We may suspend or end your access if you seriously or repeatedly break these terms, if you do not pay, or if the law requires it. Sections that by their nature should continue after these terms end, such as those on data, confidentiality, disclaimers, liability and disputes, will continue.

12. Disclaimers

SpecHawk is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the service will be uninterrupted or error-free.

13. Limitation of liability

To the fullest extent the law allows, neither of us will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party's total liability under these terms is limited to the amount you paid us in the 12 months before the claim, or US$100 if you have not paid us anything. These limits do not apply to your payment obligations or to your obligations under section 14.

14. Indemnity

You will defend and indemnify SpecHawk against third-party claims arising from environments you connected without authorization, from your Customer Data, or from your breach of section 3 or 4.

15. Law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Any dispute will be resolved in the state or federal courts located in Delaware, and both of us agree to their jurisdiction.

16. Changes to these terms

We may update these terms. We will post the new version here and update the date at the top. If a change is significant, we will tell you by email or in the product at least 30 days before it takes effect. If you keep using SpecHawk after that, the new terms apply.

17. General

These terms, together with our Privacy Policy and any signed agreement with your company, are the entire agreement between us about SpecHawk. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. If any part of these terms cannot be enforced, the rest stays in effect. Not enforcing a part of these terms is not a waiver. Neither of us is responsible for delays caused by events beyond our reasonable control. You will comply with export control and sanctions laws when using SpecHawk. We may send notices to the email address on your account.
